Agreement to these terms
These Terms of Use (“Terms”) govern your access to and use of the Osprey Submittal application and website (the “Service”), operated by Osprey Submittal LLC (“Osprey,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
The service
Osprey extracts review-ready submittal registers from construction project manuals using automated and AI-assisted processing. We may add, change, or remove features over time.
Accounts
You must provide accurate information when you create an account and keep your credentials secure. You are responsible for all activity under your account, and you agree to notify us promptly of any unauthorized use.
Subscriptions, billing, and refunds
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Each plan includes a set number of project manuals per period; additional manuals are billed at the overage rate shown at checkout. Subscriptions renew automatically until canceled. You may cancel at any time, effective at the end of the current billing period. Except where required by law, payments are non-refundable.
Your content
You retain ownership of the documents you upload and the registers generated from them (“Your Content”). You grant Osprey a limited license to store and process Your Content solely to provide the Service to you. You are responsible for ensuring you have the right to upload Your Content and that it does not infringe others’ rights or breach any confidentiality obligation.
Acceptable use
You agree not to:
- upload content you do not have the right to use;
- attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service;
- use the Service to violate any law or to build a competing product by copying it;
- resell or share access except as your plan allows.
AI-assisted output; verify before relying
Osprey uses automated extraction and is designed to reach high — but not perfect — accuracy. The generated register is a starting point that you must review and verify against the source documents before relying on it. Osprey is a productivity tool, not a substitute for professional judgment, and does not provide legal, engineering, or construction advice. You are solely responsible for decisions made using the output.
Intellectual property
The Service — including its software, design, and branding — is owned by Osprey and protected by intellectual-property laws. These Terms grant you only the limited right to use the Service as described, and no other rights in it.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Osprey will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.
Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Texas.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.
